01Acceptance of these terms

These Terms of Service ("Terms") form a binding agreement between you and the operator identified above ("we", "us", "our") governing your access to and use of the Long/Short Terminal website, application, and related services (together, the "Service"). By creating an account, subscribing, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

02The service

The Service is a research platform for equity investors that aggregates and presents macroeconomic data, quantitative screens, company fundamentals, key performance indicators, earnings-call summaries, news, options analytics, and portfolio-tracking tools. Features available to you depend on your subscription tier. We may add, change, or remove features at any time.

The Service is intended for informational and research purposes only, for experienced, self-directed investors who make their own decisions.

03No investment advice

The Service does not provide investment, financial, legal, tax, or accounting advice, and we are not a registered investment adviser, broker-dealer, or portfolio manager. All content - including scores, screens, model outputs, price targets, AI-generated summaries, and any example trades or structures - is provided for general information only and is not a recommendation, offer, solicitation, or personalized advice to enter into any transaction.

Investing involves risk, including the possible loss of principal. Past performance does not guarantee future results. You are solely responsible for evaluating the merits and risks of any decision and should consult your own licensed advisers. Any action you take based on the Service is at your own risk.

04Accounts & eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. Authentication and account management are provided through our identity provider (Clerk). You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

You agree to provide accurate account information and to keep it up to date. We may suspend or terminate accounts that violate these Terms.

05Subscriptions & billing

• Plans. The Service is offered on paid subscription tiers. The features and price of each tier are described at the point of purchase.
• Payment. Payments are processed by our payment provider (Stripe). We do not store your full card details. By subscribing you authorize recurring charges to your payment method.
• Renewal. Subscriptions renew automatically at the end of each billing period until cancelled.
• Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
• Refunds. Except where required by mandatory law, fees already paid are non-refundable.
• Price changes. We may change prices; changes apply from your next billing period and we will give reasonable notice.

06Acceptable use

You agree not to:

• Scrape, crawl, harvest, or bulk-download data from the Service by automated means;
• Resell, redistribute, sublicense, or publicly display the data or content, or use it to build or train a competing product or dataset;
• Share your account, credentials, or access with others;
• Reverse engineer, decompile, or attempt to derive source code, or circumvent access controls, rate limits, or the subscription gate;
• Interfere with, disrupt, or place unreasonable load on the Service or its infrastructure;
• Use the Service unlawfully or in violation of any third-party rights.

07Intellectual property

The Service, including its software, design, layout, text, and original analytics, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal investment research during your subscription. Any content you create within the Service (such as notes, watchlists, and idea templates) remains yours; you grant us the limited rights needed to host and operate it for you.

08Third-party data

The Service relies on data from third-party providers and public sources. While we take care in aggregating and presenting it, we do not originate this data and cannot guarantee its accuracy, completeness, timeliness, or availability. Data may be delayed, estimated, adjusted, or contain errors. AI-generated summaries may be incomplete or inaccurate. You must independently verify any information before relying on it.

09Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any result or output will meet your expectations. Some jurisdictions do not allow the exclusion of certain warranties; in that case the exclusions apply to the fullest extent permitted by law.

10Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, trading or investment losses, data loss, or loss of goodwill, arising out of or relating to your use of - or inability to use - the Service, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for any claim relating to the Service is limited to the amount you paid us in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under mandatory Swiss law (including liability for unlawful intent or gross negligence).

11Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your infringement of any third-party right.

12Changes & termination

We may modify these Terms from time to time. Material changes will be communicated by reasonable means (for example, by email or an in-app notice), and continued use after the changes take effect constitutes acceptance. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. You may stop using the Service and cancel your subscription at any time. Sections that by their nature should survive termination (including Sections 3, 7-11, and 13) will survive.

13Governing law

These Terms are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for any dispute arising out of or in connection with these Terms is Zurich, Switzerland, subject to any mandatory place of jurisdiction for consumers.
